Motorola and Microsoft shook hands

So how this worked out? Microsoft sold the MSN logo or the Windows SDK? I can’t get it. If Motorola wanted to make a GUI for a cell phone, they could do it by themselves. They have all the resources in the world, because they are top sellers in US and Far East and third in Europe. Or was it that Microsoft paid Motorola to make a phone menu looking like* Windows XP?
The technologies that should drive a phone maker are not owned by Microsoft: IrDA, USB, digital signing, MP3 for media. So what did the companies exchanged? Marketing know-how?
